Terms of Service (Terms & Conditions)

Welcome to Bioseq Transport, operated by Bioseq Ltd, Carrick Rd, Drumshanbo, Co. Leitrim, Ireland (“we”, “us”, “our”).

By accessing or using Bioseq Transport (the “Platform”), you (“you”, “your”, “Client”) agree to these Terms of Service. Please read them carefully.

1. Scope of Services

Bioseq Transport provides a digital platform for haulage companies and drivers to:

• Submit and manage delivery requests.
• Assign and monitor jobs.
• Plan routes (including ferries).
• Track compliance (driver hours, licences).
• Capture proof of delivery (POD).
• Generate payroll and reporting data.

We may update or modify services at any time, provided such changes do not materially degrade the core functionality.

2. Account Registration & Use

• You must provide accurate company and user details when registering.
• You are responsible for maintaining the confidentiality of login credentials.
• You must ensure your users (drivers, dispatchers, admins) comply with these Terms.
• You must not misuse the Platform (e.g., fraudulent jobs, harmful content, illegal activities).

3. Responsibilities of Clients

• Compliance: Clients remain solely responsible for ensuring drivers and operations comply with EU/UK transport regulations. Bioseq Transport assists but does not replace legal obligations.
• Data Accuracy: Clients are responsible for the accuracy of delivery, driver, and compliance data entered.
• Licences & Insurance: Clients must ensure their drivers hold valid licences, CPC cards, insurance, and other certifications.

4. Payment & Billing

• Subscription fees, where applicable, are invoiced as per your plan.
• Fees are payable in advance and non-refundable unless otherwise agreed.
• Late payments may result in suspension of services.

5. Service Levels

• We target 99.9% uptime (excluding scheduled maintenance).
• Support is available during Irish business hours, with enterprise SLAs available on request.

6. Data Protection & Privacy

• We process personal data (e.g., driver names, GPS data, licence details) on your behalf as a Data Processor under GDPR/UK GDPR.
• You remain the Data Controller for such data.
• Our use of data is governed by our [Privacy Policy] and [Data Processing Agreement].

7. Intellectual Property

• The Platform, including all software, designs, and content, remains the property of Bioseq Ltd.
• Clients receive a limited, non-exclusive licence to use the Platform during their subscription.
• You may not copy, modify, reverse engineer, or resell the Platform.

8. Proof of Delivery & Routing Disclaimer

• Route suggestions, ferry schedules, and compliance warnings are advisory.
• Bioseq Ltd is not liable for delays, fines, or losses resulting from route selection, ferry disruptions, or driver compliance breaches.

9. Limitation of Liability

• Bioseq Ltd is not liable for indirect, incidental, or consequential damages.
• Total liability for any claim shall not exceed the fees paid by you in the previous 12 months.

10. Suspension & Termination

• We may suspend or terminate accounts for:
• Non-payment.
• Breach of these Terms.
• Misuse of the Platform.
• You may terminate at any time by giving [30 days] notice; fees already paid are non-refundable.

11. Governing Law & Disputes

• These Terms are governed by the laws of Ireland.
• Irish courts shall have exclusive jurisdiction to settle disputes.
